Integrating ESG in corporate governance
The Dutch Corporate Governance Code includes responsibilities for Management and Supervisory Boards with respect to CSR or sustainable entrepreneurship. The preamble states: “The management board and the supervisory board should take account of the interests of the various stakeholders, including corporate social responsibility issues that are relevant to the enterprise. More specifically: the management board shall submit to the supervisory board for approval (…) corporate social responsibility issues that are relevant to the enterprise.”
How can boards take on these responsibilities in a meaningful way? How can they avoid a “green wash” or hype approach to sustainability? How can this matter be dealt with in a business-focused way? How can the secretariat to the board or the legal department prepare board meetings that effectively address the company’s CSR responsibilities? In short: how will businesses avoid falling short of the obligations included in the Corporate Governance Code? And more to the point: how can they reap the benefits of beating the competition and building stronger stakeholder relations?

Target group
This session is aimed at both management and supervisory board members. An alternative approach is available for the secretariat to the boards.
Outcome
The session creates a better understanding of board members’ obligations and of what is needed to fulfil these obligations. The specific focus will be on creating a governance structure, defining sustainability KPIs, implementing CSR and performing successfully, as well as monitoring and reporting responsibly.
